General Terms and Conditions of Sale

1. Preamble

These General Terms and Conditions of Sale (GTC) govern the sales of derivative products carried out via the website [www.comptoirs-lesdeuxmagots.fr] (hereinafter the "Site").

They are concluded between an individual or legal entity wishing to make a purchase for their strictly personal use, via the Site (hereinafter referred to as the "Customer") and SAS LDM DEVELOPPEMENT whose full contact details are as follows:

2. Acceptance of terms

Any order placed on the Site implies unreserved acceptance of these GTC. The Customer acknowledges having full legal capacity, having read these GTC and accepting them without restriction or reservation before confirming their order.

3. Products

3-1 Marketing

LDM DÉVELOPPEMENT presents on the Site the various Products offered for sale, accompanied by detailed descriptive sheets. This information allows the Customer to take cognizance, before any final order, of the essential characteristics of each Product available for purchase via the Site, in accordance with the provisions of Article L.111-1 of the Consumer Code.

LDM DÉVELOPPEMENT strives to present the Products as faithfully as possible. However, due to technical constraints related to the dissemination of images on the Internet, variations may exist between the photographic representation displayed on the Site and the Product actually delivered. Photographs are not contractual.

The Products offered for sale comply with the French regulations in force.

3-2 Availability

Products are offered for sale within the limits of available stock at the time of the Customer's order. Any Product that becomes unavailable is indicated as such on the Site.

LDM DÉVELOPPEMENT employs all reasonable means to ensure the availability of all Products offered for sale.

LDM DÉVELOPPEMENT reserves the right, at any time, to modify the Product offer or to cease the marketing of certain Products listed on the Site. These modifications do not, however, affect orders validly accepted before their entry into force.

In the event of total or partial unavailability of a Product after order validation, LDM DÉVELOPPEMENT will inform the Customer as soon as possible by email and will proceed with the refund of the products that prove to be unavailable.

3-3 Price

The applicable prices are those displayed on the Site at the time of the Customer's order validation. They are indicated in euros (€), all taxes included (TTC), and include the French Value Added Tax (VAT) in force on the date of the order.

The Customer is informed that delivery costs are not included in the price of the Products and are subject to separate invoicing. Their amount is specified to the Customer before the final validation of the order, notably on the order summary and in the confirmation email.

LDM DÉVELOPPEMENT reserves the right to modify its prices at any time and without prior notice. However, Products are invoiced based on the rates in force at the time of order registration, with price changes having no impact on orders already accepted.


4. Order process

4-1 Prerequisites

In order to place an order, the Customer must meet certain conditions:

• Have an address in one of the countries covered by our delivery zones
• Have a funded bank account allowing them to pay online the amount of their order
• Have the legal capacity to contract
• Be of legal age for any alcohol order, given that in accordance with the provisions of Article L. 3342-1 of the Public Health Code
• For gift card orders, the Customer is invited to read and accept the dedicated general terms and conditions of sale available here

4-2 Product order

To add a Product to their cart, the Customer will click on the "Add to cart" icon.
A minimum of 25 euros including VAT per order (excluding shipping or delivery costs) is required to validate it.

At any time, the Customer can:
- obtain a summary of the Products they have selected or modify their cart, by clicking on the "Cart" icon accessible on each page
- validate their cart by clicking on "Proceed to payment" after having obligatorily checked the box "I have read and accept the General Terms and Conditions of Sale and Use".

Once the Customer has clicked on "Proceed to payment", the Customer arrives at the payment page and undertakes to indicate:
- their first name(s), last name(s), phone number and email address. Said email address must be perfectly valid and in perfect working order.
- a postal address to which delivery can be made during working hours from Monday to Saturday.
The Customer must also choose:
- The shipping method
- The chosen payment method

The information requested during the order placement is necessary for LDM DEVELOPPEMENT to be able to make the delivery.

The customer can choose to create an account or order without an account.

Once the information has been duly completed, the Customer clicks on the "Review order" button and arrives on the summary page of their order.

After reviewing the summary of their order, the Customer will be invited:
-either to click on the "Validate payment" button to proceed with the payment of their order; They can at any time click on one of the "Modify" buttons to change the characteristics of their order and/or the information relating to their personal details.

In order to pay, the Customer is invited to click on "Validate payment" and will be invited to proceed with payment by entering their bank details.

The information and data recorded by LDM DÉVELOPPEMENT for the purposes of processing, invoicing, and delivering orders constitute proof of transactions between LDM DÉVELOPPEMENT and the Customer.

The order is firm and definitive only after its confirmation by LDM DEVELOPPEMENT, which is materialized by sending an email to the address provided by the Customer when placing their order.

In the event of a dispute or litigation relating to an order placed on the Site, the computer data kept by LDM DÉVELOPPEMENT, and in particular the records of orders, payments and electronic exchanges, will be authentic between the Parties and will be considered as having probative value, unless proven otherwise.

The archiving of order forms and invoices is carried out by LDM DÉVELOPPEMENT on a reliable and durable medium, in accordance with the legal provisions in force. Invoices relating to orders are made available to the Customer and remain accessible at any time in their personal account on the Site.


5. Payment

5-1 Payment method

Payments are secured and can be made via credit cards, Visa, Mastercard, PayPal or Amex

5-2 Payment security

Orders are paid for exclusively by secure payment methods offered on the Site via the Shopify platform, technical payment and online store hosting provider.

Banking transactions are processed by approved payment service providers, in accordance with current security standards, and in particular the PCI-DSS standard (Payment Card Industry Data Security Standard), guaranteeing the confidentiality and protection of payment data.

Data relating to the Customer's payment methods are securely encrypted during transmission and are not at any time stored, in clear text or in exploitable form, by LDM DÉVELOPPEMENT, which never has access to the Customer's bank details.

LDM DÉVELOPPEMENT cannot be held responsible for malfunctions attributable to payment service providers or the Shopify platform, nor for the consequences linked to fraudulent use of payment methods resulting from a failure external to its system.

In the event of a bank refusal during the payment stage, the order is automatically cancelled and the Customer is notified by email to the address provided to LDM DEVELOPPEMENT during the validation of the order concerned.

6. Delivery and receipt of order

6-1 Delivery zones

The ordered Products are delivered to the address provided by the Customer when placing their order and appearing on the shipping label.

The Customer is solely responsible for the accuracy, completeness, and conformity of the information relating to the identity and address of the recipient. This information must be precise enough to allow the routing and delivery of Products under normal conditions. LDM DÉVELOPPEMENT cannot be held responsible for the consequences resulting from errors, omissions, or incomplete information communicated by the Customer.

The Products offered on the Site are delivered exclusively to the following geographical areas:

European Economic Area:
Metropolitan France (including Corsica), Monaco, Germany, Austria, Belgium, Bulgaria, Cyprus, Croatia, Denmark, Spain, Estonia, Finland, Hungary, Italy, Latvia, Lithuania, Luxembourg, Netherlands, Poland, Portugal, Czech Republic, Romania, Slovakia, Slovenia and Sweden.

International:
United States (excluding Hawaii and Alaska), Norway, Switzerland, United Kingdom

For other countries, a request can be sent to LDM DEVELOPPEMENT to obtain a quote for shipping costs and confirmation of the possibility of proceeding.

Please note that Food Products and Alcohols are only delivered within the European Economic Area

The Customer can track the progress of their order delivery using a tracking link communicated to them by email upon confirmation of the order shipment.

6-2 Delivery rates

Delivery costs are determined based on, among other things, the geographical delivery zone, the weight and/or volume of the Products ordered. Parcels are entrusted to an independent carrier of LDM DEVELOPPEMENT, which therefore cannot be held responsible for the service performed by the carrier.

Their exact amount is indicated to the Customer before the final validation of the order and appears on the order summary as well as in the confirmation email.

6-3 Customs duties and international taxes

Products sold by LDM DÉVELOPPEMENT are shipped from France. Shipping costs only include transport and delivery to the address indicated by the Customer.

For deliveries outside the European Union, the Customer is informed that any customs duty, import tax or any formality applicable in their country of destination is their sole responsibility. These costs are not included in the price of the Products or in the delivery costs invoiced by LDM DÉVELOPPEMENT and must be paid directly by the Customer to the customs authorities of their country, if applicable.

In the event of refusal or non-payment of these duties and taxes by the Customer, LDM DÉVELOPPEMENT cannot be held responsible for the return or destruction of the goods or for any delivery delay resulting from this situation.

6-4 Delivery methods

Products ordered on the Site can be delivered according to the following methods, depending on the options available at the time of order:
- Home delivery: Products are delivered to the postal address provided by the Customer when placing their order.
- Relay point: The Customer can choose to pick up their order at a partner relay point, selected when ordering. Information relating to the chosen relay point is communicated to the Customer by email.
- Click & Collect: The Customer can pick up their order directly at our Parisian Comptoirs: 2 Rue de Buci, 75006, Paris, Monday to Sunday from 10:30 a.m. to 8:00 p.m.

The Customer is responsible for the accuracy and completeness of the information relating to the delivery address or the pick-up point. LDM DÉVELOPPEMENT cannot be held responsible for the consequences resulting from errors or omissions communicated by the Customer.

 

6-5 Receipt of delivery

Delivery corresponds to the first effective presentation of the package to the address provided by the Customer when ordering.

It is up to the Customer to unpack the received package without delay, to note any necessary reservations on the delivery slip and to notify LDM DEVELOPPEMENT within 12 hours of delivery. 

In the event of a particular problem regarding delivery (damaged products), the Customer must send a registered letter with acknowledgment of receipt to the carrier and send a copy thereof to LDM DEVELOPPEMENT within 3 days following effective delivery.

6-6 Delivery delays

As delivery is carried out by an independent carrier, LDM DEVELOPPEMENT cannot be held responsible for any delay due to delivery conditions, as long as LDM DEVELOPPEMENT has made every effort to meet the planned delivery date when ordering.

However, if the delivery is delayed by more than 8 days (excluding out-of-stock products) compared to the date planned at the time of the order, the Customer will have the option of canceling their order and being reimbursed for its amount.

7. Right of withdrawal, returns and refunds

In accordance with Article L221-18 of the Consumer Code, the customer has a period of 14 days from receipt of the products to exercise their right of withdrawal without having to give any reason, but provided that the products are returned in their original and complete condition. Return costs are borne by the Customer

In accordance with Article L221-28 of the Consumer Code, the right of withdrawal does not apply to:
- products manufactured/customized according to the Customer's specifications (including By accepting the Site's GTC, the customer accepts that the right of withdrawal does not apply to personalized products (physical gift cards) 
- perishable products likely to deteriorate or expire quickly;
- products that have been unsealed or opened by the Customer after delivery or opened consumables (e.g., alcohol, coffee bag, box of chocolates, jams, etc.)

In order to exercise their right of withdrawal, the Customer must send an email to serviceclient@comptoirs-lesdeuxmagots.fr 
Beforehand, the Customer must download and fill out the return form, downloadable here then, they must:
-    Send the withdrawal form by email
-    Send photos of the product(s) in perfect resale condition, original packaging, complete, no marks, shocks, no traces of use

The Customer then generates their return label and returns the package by post.
Please note that all return costs are borne by the customer.
The refund will be made via the same payment method as that used for the order within 14 days of receipt of the package by LDM DEVELOPPEMENT.

It is not possible to exchange. Any product returned to LDM DEVELOPPEMENT incomplete, damaged, used, consumed or soiled cannot be refunded.

8. Delivery problems and delays

8-1 Non-delivery

In case of non-delivery for the following reasons:
- Incorrect or incomplete delivery address
- Failure to collect the package at a relay point within the allotted time
- Absence from home during delivery

Responsibility for non-delivery lies with the Customer. The return of the package will trigger a refund of all ordered products (excluding shipping costs, taxes and customs duties). Please note that return shipping costs are entirely borne by the customer and will therefore be deducted from their refund.

8-2 Damaged package

In the event that the Customer receives a damaged package, they must:

- Refuse the package upon receipt or, if applicable, provide photographic proof that the products were damaged within 48 hours (from receipt of the package) by sending an email to customer service: serviceclient@comptoirs-lesdeuxmagots.fr
- They must then return the package by post.

Upon receipt of the returned order, LDM DEVELOPPEMENT verifies the consistency between the condition of the returned product and the reason for the product's return.

If the damage matches the reason for which the package was returned, the purchase may be refunded within 14 days, or the damaged products may be re-shipped entirely at LDM DEVELOPPEMENT's expense.

8-3 Other

In case of:

- Missing products
- Expired products
- Different quantity delivered

The Customer must provide photographic proof within 48 hours by sending an email to customer service: serviceclient@comptoirs-lesdeuxmagots.fr

The Customer can then choose to be reimbursed the price of the missing product(s) or choose a re-shipment of the missing product(s) entirely at LDM DEVELOPPEMENT's expense.

8-4 Carrier issues

In the event that:

- The package was delivered to the wrong person
- The package was lost
- The package was stolen

The Customer is invited to directly contact the carrier in charge of their package.

In the event that:

- The package is stuck in a warehouse or relay point without an update notification
- Package tracking is not updated

8-5 Delays

In the event of shipping delays, the Customer will be informed directly by LDM DEVELOPPEMENT by email.

For deliveries within the European Union only:
If the package has not been delivered within 30 working days. The Customer has the right to cancel their order and obtain a full refund (excluding delivery, taxes and any customs fees).

To exercise this right, the Customer must have their order number and tracking number and contact customer service by email at serviceclient@comptoirs-lesdeuxmagots.fr.

9. Guarantees

Products benefit from legal guarantees of conformity (articles L217-4 to L217-14 of the Consumer Code) and against hidden defects (articles 1641 to 1649 of the Civil Code).

LDM DEVELOPPEMENT guarantees that the products offered for sale on its Website conform to their intended use and do not present defects or hidden flaws making them dangerous or unfit for their usual use.

Products modified/repaired by the Customer, damaged during transport or due to improper use are excluded from legal guarantees.

10. Intellectual Property

All elements of the site (texts, images, graphics, logo) are protected by copyrights held by LDM DEVELOPPEMENT.

Any reproduction, even partial, is prohibited without prior written authorization.

11. Personal Data

Personal data is collected for order processing.

It is used by LDM DEVELOPPEMENT to monitor the order, delivery (a process for which necessary personal data is communicated to the carrier), customer relations, and solicitations related to products or services offered by LDM DEVELOPPEMENT (if the Customer has expressly consented).

In accordance with the GDPR, you have the right to access, rectify, delete and port your data.

Personal data collected for the purpose of orders is retained for the duration of the commercial relationship, for the duration necessary for the purpose of processing, and to fulfill LDM DEVELOPPEMENT's accounting and tax obligations.

For any other details, the Customer is invited to consult LDM DEVELOPPEMENT's privacy policy.

12. Force Majeure

12-1 Definition

Neither the Customer nor LDM DEVELOPPEMENT shall be held responsible for a total or partial non-fulfillment of their obligations due to a fortuitous event or a case of force majeure which would prevent the execution of the parties' reciprocal obligations.

For these General Terms and Conditions of Sale, force majeure is understood to be any event beyond LDM DÉVELOPPEMENT's control, unforeseeable, irresistible, and independent of its will, which totally or partially prevents the execution of its contractual obligations.

The following are notably considered as cases of force majeure, without this list being exhaustive:

- Natural disasters (floods, storms, fires, earthquakes),
- War, armed conflicts, acts of terrorism, riots, sabotage, civil unrest,
- General or local strikes, lockouts, pandemics/epidemics or work stoppages by personnel or service providers,
- Failure of transport or postal or delivery services (including GLS or partner carriers),
- IT or network failure or malfunction, cyberattack, or problem affecting the Shopify platform or payment systems, legal or administrative restrictions, quarantines or export or import bans.

12-2 Suspension of Obligations

In case of force majeure, LDM DÉVELOPPEMENT is relieved of its obligations for the duration of the event.
If the force majeure prevents the execution of the order for an extended period, LDM DÉVELOPPEMENT will inform the Customer as soon as possible and may:

- Temporarily suspend the delivery of the Products concerned,
or
- Cancel the order without the Customer being able to claim damages.

12-3 Notification to the Customer

The Customer will be informed as soon as possible by email or any other appropriate means of the occurrence of a force majeure event and its consequences on the execution of the order.

12-4 Effects on Payments

If the order is cancelled due to a force majeure event, LDM DÉVELOPPEMENT will refund any sums already paid by the Customer within 14 days of the order cancellation.

12-5 Limitation of Liability

In case of force majeure, LDM DÉVELOPPEMENT cannot be held responsible for delays, interruptions, damages or losses suffered by the Customer or third parties related to the impossibility of executing the order.

13. Entire Agreement

These General Terms and Conditions of Sale, the General Terms and Conditions of Use of the Site, and the order summary sent to the Customer form a single contractual whole and constitute the entirety of the contractual relations between LDM DÉVELOPPEMENT and the Customer.

It is expressly agreed that electronic exchanges between the Parties, including emails and automatic recording systems used on the Site, shall serve as proof of the nature, content, and date of orders placed by the Customer.

The Customer can, in accordance with applicable legal provisions, access the electronic contract concluded with LDM DÉVELOPPEMENT. To do so, they must contact Customer Service by email, specifying all the necessary information to identify their order, notably the order number and their contact details.

14. Applicable Law – Disputes

This contract, as well as all orders related to it, is governed by French law.

In the event of a dispute relating to the execution or interpretation of these General Terms and Conditions of Sale, the Customer has several options:

- Failing an amicable resolution, the Customer, if they wish, can also have free recourse to a consumer mediator to attempt to resolve the dispute amicably.

The competent mediator for disputes concerning products and services offered by LDM DÉVELOPPEMENT is:

Failing an amicable settlement, any dispute relating to the validity, interpretation or execution of these General Terms and Conditions of Sale will be submitted to the competent Paris Judicial Court, including in the event of multiple parties, summary proceedings or expert appraisal, subject to the mandatory provisions of the Code of Civil Procedure.

In the event of a dispute, an amicable solution will first be sought.

In the absence of an amicable resolution, the customer may resort to a mediator or seize the competent court.
